2 FAM 041  General

2 FAM 041.1  Purpose

a. The Enterprise Governance Board (EGB) is a forum for senior Department leaders to discuss strategic issues and provide input into enterprise-level decisions on a regular basis.  Its purpose is to enhance transparency, agility, and alignment of resources with priorities, and to increase the speed of enterprise-level decision-making. 

b. Prior to final approval by the Secretary, the EGB meets to advise on or approve enterprise-level matters, such as strategic resource recommendations to the Secretary for the Department's annual Budget Request; Department legislative priorities; issues related to Enterprise Risk Management; high-level policies with enterprise-wide implications (such as major multi-region U.S. policy initiatives or realignment of the Department's global staffing presence); and other topics as determined by the chairperson.

2 FAM 041.2  Regular Meetings

The EGB meets regularly.  The EGB will consider enterprise-wide topics as appropriate.  EGB members and advisors may suggest topic ideas to the EGB Secretariat at any time.  At a minimum, the EGB will discuss and advise on or approve decisions once per year including but not limited to the following topics:

·         Strategic resource recommendations to the Secretary for the Department's annual Budget Request to the Office of Management and Budget;

·         Enterprise Risk Management;

·         Legislative priorities;

·         Assessment of global presence; and

·         Inter-bureau reorganizations.

2 FAM 041.3  Board Membership

The EGB is comprised of nine permanent members, who serve as voting members. All voting members have an equal vote.

Permanent Members:

·         The Deputy Secretary of State (co-chairperson)

·         The Deputy Secretary of State for Management & Resources (co-chairperson)

·         The Under Secretary of State for Management (alternate chairperson in the absence of a Deputy Secretary)

·         All other Under Secretaries of State. In the absence of a confirmed or Presidentially-designated Under Secretary, the person delegated those authorities will be authorized to participate and vote.

·         A representative of the Secretary of State as determined by the Secretary.

Advisors and Observers:

·         The Board's charter, which the EGB Secretariat maintains and updates, sets forth the advisors to the Board and its governance structure in greater detail.  Advisors and observers may change frequently depending on EGB meeting topics.  Advisors and observers do not vote.

2 FAM 041.4  Secretariat

The Office of Management Strategy and Solutions (M/SS) serves as the secretariat to the EGB and is responsible for maintaining the Board's charter; documenting the Board's decisions; convening the Board's working group; and facilitating the Board's administration and logistics.
